P&G to Acquire Tambrands
Shares of tampon manufacturer TAMBRANDS <% if gsSubBrand = "aolsnapshot" then Response.Write("(NYSE: TMB)") else Response.Write("(NYSE: TMB)") end if %> rose $2 to $48 1/8 this morning after PROCTER & GAMBLE <% if gsSubBrand = "aolsnapshot" then Response.Write("(NYSE: PG)") else Response.Write("(NYSE: PG)") end if %> confirmed rumors that it was buying the company out. P&G will purchase Tambrands for $50 a share in cold, hard cash, for a total purchase price of $1.843 billion plus the company's $80.9 million in long-term debt as of the last reported quarter. The sticker price of 20 times this year's earnings per share estimates and 2.9 times sales for Tambrands will dilute P&G shareholders by two to three cents per share, although the company believes that it can make up the difference.
Dow component P&G will add Tambrand's products to its sizable list of household products where it owns the number one brand. P&G currently controls Tide (laundry soap), Cascade (dishwasher soap), Dawn (hand soap), Bounty (paper towels), Charmin (toilet paper), Pampers (diapers), Pringles (potato chips), Folgers (coffee), Duncan Hines (prepared baked goods mixes), Scope (mouthwash) and Metamucil (laxative) to name most of its current product line. Tambrands will fit nicely into P&G's much ballyhooed brand management strategy where it heavily advertises and promotes its core brands, building awareness and maintaining price leadership.
Tambrands is the leader in the tampon category with its Tampax brand, accounting for roughly 45% of all tampons sold in the world. Tampax has been under assault in the past few years as cheaper rivals have whittled away at its brand recognition by engaging in cutthroat pricing tactics. The factors that have been holding the Tampax brand back are exactly the kind of issues that P&G is skilled at overcoming. With a differentiated product line within the brand, including Tampax Natural, Tampex Lites, applicator-free Tampets and biodegradable Satin Touch tampons, the company has all the elements of success. The largest competitor currently is Dow component JOHNSON & JOHNSON's <% if gsSubBrand = "aolsnapshot" then Response.Write("(NYSE: JNJ)") else Response.Write("(NYSE: JNJ)") end if %> o.b. unit, a unit that might have a few executives more worried about Tampax than the night before.
